United Way of Greater Cincinnati

First Financial CEO Archie Brown served as chairman for the United Way of Greater Cincinnati’s 2019 campaign, and board member Cynthia Booth served as vice-chair. Brown and Booth worked with volunteers and thousands of corporate and community partners to raise money for programs that sustain every person’s health, education, and financial stability in 10 counties across the tri-state area. The ability to make such a substantial local impact drove Brown and Booth to organize the most successful campaign in its history. In addition to our $1 million pledge at the corporate level, First Financial associates donated a total of $628,473 to the United Way’s 2019 campaign.

Thrive Alliance

Stable, quality housing is critical to strong communities, yet it can be hard to find — especially for people with disabilities. That’s why First Financial has partnered with Thrive Alliance to provide housing services for people with disabilities in Columbus, Indiana. Tenancy in Thrive Alliance’s affordable and accessible homes averages 9.6 years, indicating that the organization delivers stable housing and represents a powerful community resource. First Financial’s funding allowed Thrive Alliance to buy and renovate six single-family homes, which are currently occupied by 13 adults and three children.

Ethel M. Taylor Academy

The Ethel M. Taylor Academy provides Cincinnati’s public-school students with innovative experiences that foster their educational and personal development and build their confidence and self-esteem. In 2019, we funded a visit to the nationally recognized Center of Science and Industry for the school’s sixth graders.

3CDC and REDI

Between donations to the Cincinnati Center City Development Corporation (3CDC) and the Regional Economic Development Initiative (REDI), we put $125,000 to work supporting economic development in downtown Cincinnati and beyond. In partnership with the City of Cincinnati Economic Development Task Force, 3CDC works to build a vibrant downtown business and entertainment district by efficiently coordinating development. REDI supports businesses interested in relocating to Cincinnati or growing their presence in the area.

Catalytic Development Funding Corporation

The Catalytic Fund serves the Northern Kentucky cities of Ludlow, Covington, Newport Bellevue, and Dayton, offering financial assistance and technical expertise on quality residential and commercial real estate projects. We contributed $21,000 to support the fund’s efforts in accelerating the region’s urban renaissance.

The First Financial Foundation

We established the First Financial Foundation at the end of 2017 to support programs and organizations that enhance and develop the communities in which First Financial does business. In particular, we target emerging markets, prioritizing neighborhood development, workforce development, education, culture, and the arts. A few of our 2019 investments included:

  • $35,000 for the Center for Independent Living Options (CILO), which supports people with physical, sensory, cognitive, or psychological disabilities across Greater Cincinnati and Northern Kentucky. CILO’s efforts help people with disabilities lead rewarding, independent lives with pride and dignity.
  • $9,913 for the Resident Resource Network (RRN) in Columbus, Ohio, which connects affordable housing residents to supportive services such as employment, education, health, government benefits, and more. RRN serves as a regional leader in breaking the cycle of generational poverty by improving housing stability, increasing self-sufficiency, and creating safe, supportive communities.
  • $30,000 for LTHC Homeless Services in Lafayette, Indiana, which serves as the coordinated point of entry and initial assessment for people experiencing homelessness or a housing crisis in Tippecanoe County. Since 1989, LTHC has helped thousands of individuals find housing solutions, services, and resources for long-term success.
  • $20,000 for NISRE, Inc., a Community Development Corporation in Columbus, Ohio, that provides affordable housing solutions and a range of economic empowerment initiatives designed to alleviate poverty and revitalize neighborhoods in low- and moderate-income communities. NISRE has assisted more than 1,000 homeless individuals since its founding in 2006.

Hands-on help

To encourage volunteerism at First Financial, we offer paid time off for volunteering during scheduled work hours. In 2019, First Financial associates logged more than 18,000 hours repairing homes for low- and moderate-income homeowners, filling care packages for deployed service members, building beds for children in need, and feeding the hungry.

We understand that through our banking decisions and our financial and human resources, we can support growth and equality in our communities. So that’s what we do.

CIVISTA BANCSHARES, INC. TO ACQUIRE UNITED COMMUNITY BANCORP

Civista Bancshares, Inc. to Acquire United Community Bancorp

Sandusky, OH and Lawrenceburg, IN, March 12, 2018 – Sandusky, Ohio based Civista Bancshares, Inc. (“Civista”) (NASDAQ: CIVB) and United Community Bancorp, the parent company of United Community Bank (“United” or “UCB”) (NASDAQ: UCBA), today announced the signing of a definitive merger agreement pursuant to which Civista will acquire United.  Based on financial data as of December 31, 2017, the combined company would have total assets of $2.1 billion, total loans of $1.5 billion and total deposits of $1.7 billion.  United operates an eight branch network in southeastern Indiana, five of which are located in the Cincinnati MSA.  This acquisition will allow Civista to bring its enhanced commercial lending platform to United’s demographically strong markets.  United will provide Civista with low cost core deposit funding and excess liquidity. 

Civista currently operates branches and loan production offices from northern Ohio to Dayton, Ohio.  The acquisition of United expands Civista’s community banking franchise into and around the Cincinnati MSA, which is home to over 2.1 million people.  After this strategic partnership, Civista’s community banking platform will operate in each of the five largest Ohio marketplaces.

Under the terms of the merger agreement, which has been unanimously approved by the Boards of Directors of both companies, the consideration United shareholders will receive is equivalent to 1.027 shares of Civista common stock and $2.54 in cash per share of United common stock.  This implies a deal value per share of $26.22 or approximately $114.4 million based on the 15-day average closing price of Civista’s common stock on March 9, 2018 of $23.06.  Civista and United anticipate that the transaction will qualify as a tax-free reorganization to the extent that United shareholders receive Civista common stock in the merger.  The transaction is expected to close in the third quarter of 2018, subject to each company receiving the required approval of its shareholders, receipt of all required regulatory approvals and fulfillment of other customary closing conditions.

Under terms of the agreement, the directors of Civista and the directors and executive officers of United have agreed to vote all shares that they own in their respective organizations in favor of the merger.  In addition, a total of three existing United directors will join the Civista Bank Board of Directors and two of those directors will join the Civista Bancshares, Inc. Board of Directors.  E.G. McLaughlin is expected to be one of the directors to join both boards.

In preparation for the merger, extensive due diligence was performed over a multi-week period.  Under the proposed merger terms, the acquisition of United is expected to be immediately accretive to Civista’s earnings in 2018 and thereafter. In addition, any tangible book value dilution created in the transaction is expected to be earned back in approximately 3.5 years after closing. Post-closing, Civista’s capital ratios are expected to continue to exceed “well-capitalized” regulatory standards.

Civista will host an investor conference call and webcast on March 12, 2018, at 10:00 a.m., ET, to provide an overview of the transaction and highlights.  Participants may join the conference ten minutes prior to the start time by calling 1-855-238-2712 and asking for the Civista Bancshares conference.  Additionally, the live webcast may be accessed from the ‘Webcasts and Presentations’ page of the Company’s website, www.civb.com, or from the ‘Upcoming Events’ tab on the CIVB mobile site.

Catlettsburg employees volunteer to give back for ThanksgivingMarathon Petroleum employees are giving thanks by giving back for Thanksgiving. Employees across the country are donating time, money, clothing and food to help the less fortunate in our communities.

“Thanksgiving is a time to celebrate and enjoy time with your family. That’s hard to do when you are struggling to make ends meet,” said Tracey Tafoya, Community Relations Manager at Marathon Petroleum. “We have found ways to support the organizations helping those in need this holiday season, and we are truly grateful for the opportunity to serve others during this time of year.”

At MPC, our community investment strategy is centered around strengthening communities and helping make people's lives better.

“Helping to prepare families in need for Thanksgiving and knowing that our help would provide for so many truly filled my heart with love and happiness,” said Lisa Tiell, Advanced Supply Chain Processor with Marathon Petroleum.

Here’s a look at some of the activities and donations from our locations:

  • The Canton refinery made a $1,000 donation to support the Thanksgiving Baskets Downtown event that provided Thanksgiving dinner for 1,200 local families in the Canton community.
  • Catlettsburg’s Refining Analytical Development group organized an employee turkey donation for the Ashland Community Kitchen for its Thanksgiving Meal. Employees donated nearly 30 turkeys and made cash donations. Employees also volunteered in the kitchen to help serve meals. The Community Action Team hosted a Coat, Glove and Hat Drive for three nonprofit organizations to help those in need this winter. Large bags of winter items were delivered to The Dressing Room in Ashland, Kentucky, Huntington City Mission in West Virginia and to The Ironton City Mission in Ohio.
  • The Cincinnati Biodiesel Facility collected non-perishable goods from employees to donate toward 200 Thanksgiving meals provided for Winton Woods, a low-income community that is right across the street from the plant. MPC is donating turkeys for the meals this year, through a $1,500 local giving grant.
  • The Detroit refinery donated $5,000 to the River Rouge turkey drive and volunteered at the event that is giving out 2,000 turkeys and canned goods to help those in need.
  • Los Angeles refinery employees and contractors donated money to Feast in the Park, an event for more than 500 residents to receive a hot meal the day before Thanksgiving. And in partnership with the Wilmington Rotary Club, residents will receive toiletry kits. Volunteers will also hand out new and gently used sweaters and jackets to people at the event. The refinery has supported Feast in the Park for more than 22 years.
  • FAMILIA, the Hispanic Employee Network Findlay chapter, volunteered at the West Ohio Food Bank, packing meal boxes to give to families. The group packed 50 boxes of meat and 100 boxes of desserts for a local food pantry.
  • ARISE, the Women’s Employee Network San Antonio chapter, provided 20 Thanksgiving meal kits to Haven for Hope (a local homeless shelter) to benefit families transitioning to independent living this holiday. Employees in San Antonio volunteered at the annual Raul Jimenez Thanksgiving Dinner city-wide event serving upwards of 20,000 people. MPC provided a $5,000 grant to support the organization. Volunteers also worked at the San Antonio Food Bank to help organize donations.

We encourage employees to support the organizations and community efforts that are important to them by matching their donations to eligible organizations at 100 percent and funding volunteer incentive awards.

The ability to make such a substantial local impact drove Brown and Booth to organize the most successful campaign in its history. In addition to our $1 million pledge at the corporate level, First Financial associates donated a total of $628,473 to the United Way’s 2019 campaign.

Thrive Alliance

Stable, quality housing is critical to strong communities, yet it can be hard to find — especially for people with disabilities. That’s why First Financial has partnered with Thrive Alliance to provide housing services for people with disabilities in Columbus, Indiana. Tenancy in Thrive Alliance’s affordable and accessible homes averages 9.6 years, indicating that the organization delivers stable housing and represents a powerful community resource. First Financial’s funding allowed Thrive Alliance to buy and renovate six single-family homes, which are currently occupied by 13 adults and three children.

Ethel M. Taylor Academy

The Ethel M. Taylor Academy provides Cincinnati’s public-school students with innovative experiences that foster their educational and personal development and build their confidence and self-esteem. In 2019, we funded a visit to the nationally recognized Center of Science and Industry for the school’s sixth graders.

3CDC and REDI

The First Financial Foundation

We established the First Financial Foundation at the end of 2017 to support programs and organizations that enhance and develop the communities in which First Financial does business. In particular, we target emerging markets, prioritizing neighborhood development, workforce development, education, culture, and the arts. A few of our 2019 investments included:

  • $35,000 for the Center for Independent Living Options (CILO), which supports people with physical, sensory, cognitive, or psychological disabilities across Greater Cincinnati and Northern Kentucky. CILO’s efforts help people with disabilities lead rewarding, independent lives with pride and dignity.
  • $9,913 for the Resident Resource Network (RRN) in Columbus, Ohio, which connects affordable housing residents to supportive services such as employment, education, health, government benefits, and more. RRN serves as a regional leader in breaking the cycle of generational poverty by improving housing stability, increasing self-sufficiency, and creating safe, supportive communities.
  • $30,000 for LTHC Homeless Services in Lafayette, Indiana, which serves as the coordinated point of entry and initial assessment for people experiencing homelessness or a housing crisis in Tippecanoe County. Since 1989, LTHC has helped thousands of individuals find housing solutions, services, and resources for long-term success.
  • $20,000 for NISRE, Inc., a Community Development Corporation in Columbus, Ohio, that provides affordable housing solutions and a range of economic empowerment initiatives designed to alleviate poverty and revitalize neighborhoods in low- and moderate-income communities. NISRE has assisted more than 1,000 homeless individuals since its founding in 2006.

Hands-on help

To encourage volunteerism at First Financial, we offer paid time off for volunteering during scheduled work hours. In 2019, First Financial associates logged more than 18,000 hours repairing homes for low- and moderate-income homeowners, filling care packages for deployed service members, building beds for children in need, and feeding the hungry.

Catlettsburg employees volunteer to give back for ThanksgivingMarathon Petroleum employees are giving thanks by giving back for Thanksgiving. Employees across the country are donating time, money, clothing and food to help the less south carolina state tax refund tracker in our communities.

At MPC, our community investment strategy is centered around strengthening communities and helping make people's lives better.

“Helping to prepare families in need for Thanksgiving and knowing that our help would provide for so many truly filled my heart with love and happiness,” said Lisa Tiell, Advanced Supply Chain Processor with Marathon Petroleum.

Here’s a look at some of the activities and donations from our locations:

  • The Canton refinery made a $1,000 donation to support the Thanksgiving Baskets Downtown event that provided Thanksgiving dinner for 1,200 local families in the Canton community.
  • Catlettsburg’s Refining Analytical Development group organized an employee turkey donation for the Ashland Community Kitchen for its Thanksgiving Meal. Employees donated nearly 30 turkeys and made cash donations. Employees also volunteered in the kitchen to help serve meals. The Community Action Team hosted a Coat, Glove and Hat Drive for three nonprofit organizations to help those in need this winter. Large bags of winter items were delivered to The Dressing Room in Ashland, Kentucky, Huntington City Mission in West Virginia and to The Ironton City Mission in Ohio.
  • The Cincinnati Biodiesel Facility collected non-perishable goods from employees to donate toward 200 Thanksgiving meals provided for Winton Woods, a low-income community that is right across the street from the plant. MPC is donating turkeys for the meals this year, through a $1,500 local giving grant.
  • The Detroit refinery donated $5,000 to the River Rouge turkey drive and volunteered at the event that is giving out 2,000 turkeys and canned goods to help those in need.
  • Los Angeles refinery employees and contractors donated money to Feast in the Park, an event for more than 500 residents to receive a hot meal the day before Thanksgiving. And in partnership with the Wilmington Rotary Club, residents will receive toiletry kits. Volunteers will also hand out new and gently used sweaters and jackets to people at bangor spotlight cinemas event. The refinery has supported Feast in the Park for more than 22 years.
  • FAMILIA, the Hispanic Employee Network Findlay chapter, volunteered at the West Ohio Food Bank, packing meal boxes to give to families. The group packed 50 boxes of meat and 100 boxes of desserts for a local food pantry.
  • ARISE, the Women’s Employee Network San Antonio chapter, provided bank of america debit card designs 2020 Thanksgiving meal kits to Haven for Hope (a local homeless shelter) to benefit families transitioning to independent living this holiday. Employees in San Antonio volunteered at the annual Raul Jimenez Thanksgiving Dinner city-wide event serving upwards of 20,000 people. MPC provided a $5,000 grant to support the organization. Volunteers also worked at the San Antonio Peoples community bank cincinnati ohio Bank to help organize donations.

We encourage employees to support the organizations and community efforts that are important to them by matching their donations to eligible organizations at 100 percent and funding volunteer incentive awards.

Integra Bank to Buy Peoples of Ohio

Integra Bank Corp. of Evansville, Ind., is planning to bulk up in the Cincinnati area and increase its assets by more than a third - and it plans to do so on the cheap.

The $2.7 billion-asset Integra announced a deal Thursday to buy the $1 billion-asset Peoples Community Bancorp Inc. of West Chester, Ohio, for $85.6 million in stock and cash. Integra said the price works out to 0.99 times the seller's book value and a 4.5% premium to core deposits.

It is unusual for a banking or thrift company to sell itself for below book value, but Peoples has had troubles of late. It lost $4.1 million last year because of credit quality problems, and a formal agreement signed in March with the Office of Thrift Supervision required its Peoples Community Bank to clean up its loan portfolio and reduce classified assets.

Integra would gain 19 southwestern Ohio and southeastern Indiana branches that Mike Vea, its chairman, president, and chief executive officer, said are in "excellent locations." Once the deal closes, Integra would have 27 branches in eight counties in the Cincinnati area. It has a total of 80 branches, in Ohio, Indiana, Kentucky, and Illinois.

"This transaction is consistent with Integra's strategy to expand in faster-growing, higher-income, more densely populated markets, especially those that our management team knows well," Mr. Vea said in a press release.

The deal values each Peoples share at $17.69, or a 9.9% premium over Wednesday's closing price.

The stock climbed 4.8% on news of the deal Thursday, to close at $16.88 a share. Integra's stock slipped 1.9%, to $18.10.

Jerry Williams, Peoples' CEO, said in a press release that Integra "was our first choice for a partner." He said that with Integra's management depth and experience in the Cincinnati market, he expects it to become one of the top banking companies in the area.

The deal is expected to close in the first quarter and be accretive to earnings next year. Integra said it would cut Peoples' operating expenses 27% in the first 12 months after the deal closes.

Peoples Community Bank would be merged into the buyer's Integra Bank.
