Third Coast Midstream, LLC was downgraded today by S&P Global Ratings to CCC+ and Credit Watch Developing, from B- and Credit Watch Negative, on concern about the dual late-2021 maturities of its $86.5 million revolving credit facility and $425 million of 9.5% senior unsecured notes due December 2021. Ratings also lowered the unsecured notes to B- from B.

S&P Global Ratings said the downgrade reflects "our belief that a default could occur in the next 12 months." The revolver is due Sept. 15, 2021, three months ahead of the bond's maturity.

Ratings considers refinancing the bonds a greater risk than the revolver, because of "current volatility in the debt capital markets and the limited credit market access available to speculative grade issuers." According to Ratings, the combination of factors increases the likelihood that Third Coast will be unable to refinance its debt ahead of maturity.

The company's revolver had recently been extended to September 2021 in exchange for Third Coast agreeing to either have a refinancing plan or a draft purchase and sale agreement in place by June 30, 2021, or engage an investment bank third coast supply implement a refinancing of the entire capital structure. Ratings believes that the company may need to amend or waive this requirement.

Dallas: The Third Coast


Historically, gateway markets such as New York, Boston, and San Francisco have positioned themselves as the “gold standard” for international investors to deploy capital. Major companies focused on these cities due to talent, limited supply constraints, and an educated labor force.

However, if 2020 showed anything, it pointed to these cities’ potential flaws, including massive shutdowns, high taxes, and a large exodus of population. This year, California’s population shrunk for the first time in the state’s history.

Fast-forward to today, global investors from global markets such as Saudi Arabia, Korea, Hong Kong, and London that have significant capital to invest in should consider Dallas. Here’s why:

Coming out of the pandemic, Dallas is the best-positioned market for business in the U.S.
According to the Dallas Regional Chamber, the greater Dallas area includes headquarters for 42 of the Fortune 1000. Large companies that call North Texas home include McKesson, ExxonMobil, AT&T, Kimberly-Clark, Charles Schwab, Southwest Airlines, American Airlines, 7-Eleven, GameStop, AECOM, Comerica, and Toyota North America, to name a few. With friendly taxes, ample land for development, and a free open labor market, Dallas will be the next HQ2 for many companies, such as Goldman Sachs and its HQ2.

Texas is surpassing every state in the race for California company relocations
According to a study by Spectrum Location Solutions and Stanford University’s Hoover Institution, Texas is claiming the headquarters of California companies at more than four times the rate of its nearest competitor. Nearly half of the companies that moved from California so far this year have landed in Texas, according to WFAA. It’s clear: People vote with their feet.

Dallas-Fort Worth leads the nation in overall population growth
Dallas-Fort Worth led the country in population growth last year, adding 120,000 residents from 2019 to 2020, according to the U.S. Census Bureau. Just recently, Amazon announced its plans to hire 11,000 workers in Dallas-Fort Worth and offer $1,000 sign-on bonuses. Additionally, Transwestern research highlights how urban density is here to stay as Dallas is expected to become as big as Chicago by 2035. Dallas remains well-positioned and could experience growth dynamics similar to the 1980s energy boom.

The PwC’s Emerging Trends in Real Estate® Report named Dallas the No. 4 market to watch in 2021 and the No. third coast supply market in its 2019 ranking. The report highlights that “cost-conscious companies will gravitate toward cities that are business-friendly, feature low cost of living and include large, growing workforces.” This description perfectly matches Dallas.

As companies continue to enter the greater Dallas market, they will need high-level consultation with site selection and workspace strategy.

Dallasites have their sights set on the future. Institutional capital would be remised to overlook Dallas when investing in commercial real estate based on positive fundamentals and demographic growth.

Third Coast Produce brings fresh-cut line in-house

The coastal area of Texas is America’s “third coast,” and like the East Coast and the West Coast it makes huge contributions to the economy with its climate, beaches and ports. Houston’s Third Coast Produce takes its name from its geography, and the company only serves customers in the Houston metropolitan area.

Third Coast has been in business since 1992, when company founders George Finch, Art Third coast supply and Dennis Honeycutt decided to start a produce distributing company that could provide the quality and service customers were demanding. The three friends bought a delivery van – a 12-year-old gold, shag-carpet covered truck they nicknamed “Goldie” – and Third Coast Produce was up and running. The gold van went on to rack up 500,000 miles delivering produce, and still lives on in company lore.

Third Coast services the Houston area, specializing in delivering the freshest product to foodservice customers in a wide variety of applications, from hospitals and schools to quick casual and fast food restaurants.

As the market in Houston grew population of north and south america the years, foodservice customers increasingly requested convenience items in the form of fresh-cut produce. Third Coast has delivered fresh-cut items for many years by outsourcing to third-party processors, but one year ago the company decided to bring the fresh-cut items in-house, and that part of the business has grown so quickly that the lines have already been expanded three times.

“We grew a lot quicker than we counted on. The demand was there,” said Finch. He said his job title is “chief cook and bottle washer” because he does anything and everything for the produce company.

Third Coast’s 62,000-square-foot facility was constructed with growth in mind, but the fresh-cut operation had to be built from the ground up.

“We started, in many ways, from scratch,” Finch said. “The business was already there, but there was a lot of thought behind it.”

The initial fresh-cut operation had three full lines and two rooms dedicated to processing. Soon after the fresh-cuts were brought in-house, the processing lines had to be expanded to four and more room had to be allocated for the processing lines. The company now processes a full line of produce according to customer specifications. On the fruit side, Third Coast offers fresh-cut apples, grapes, limes, honeydew and cantaloupe melons, pineapples, pears and watermelons, plus fruit medleys or fruit trays. In addition to leafy greens and salads, Third Coast processes beets, broccoli, carrots, cauliflower, celery, cucumbers, yellow and white onions, peas, peppers, potatoes, squash and tomatoes. The company also can do root vegetables, garnishes and vegetable medleys or trays. Each item is available in a variety of treatments, depending on how the customer wants to use the produce.

The third upgrade for the facility will come online this summer. The latest move will increase the processing lines six. The plant is processing about 100,000 pounds of produce a week, and the two additional lines will increase that output. The plant runs five days a week with two crossover shifts, which offers more challenges when upgrading because lines have to keep running.

“The biggest speed bump was, you can’t shut down the lines,” he said.

Although the investment has been “significant,” Finch said, the growth is an indicator that customers want convenience products and Third Coast’s fresh-cut plant is providing the quality and service they desire. That doesn’t mean there weren’t problems starting a fresh-cut operation from scratch.

“They’ve been good challenges. The biggest was understanding what we wanted and what we thought we needed,” Finch said. “It’s just managing it. Ninety percent is just showing up.”
